1. Acceptance of Terms
By accessing or using the NTX AI platform, including the web dashboard (clients.northtec.io), the chat widget (chat.northtec.io), the WhatsApp Business integration, and the REST API (collectively, the "Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.
2. Description of Service
NTX AI is a multi-tenant artificial intelligence platform that provides automated conversational agents for WhatsApp Business, web chat widgets, and API integrations. The Service includes AI-powered responses, document indexing (RAG), email integration, and business automation tools.
3. Account Registration
You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must notify us immediately of any unauthorized access.
4. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law or regulation.
- Send spam, unsolicited messages, or harassing content.
- Distribute malware, phishing attempts, or malicious content.
- Attempt to bypass security measures, rate limits, or access controls.
- Impersonate another person or entity.
- Use the AI to generate harmful, misleading, or illegal content.
- Reverse-engineer, decompile, or extract the source code of the Service.
- Resell or redistribute the Service without authorization.
5. AI-Generated Content
The Service uses artificial intelligence models to generate responses. AI-generated content may not always be accurate, complete, or up-to-date. You acknowledge that:
- AI responses are provided "as is" without warranties of accuracy.
- You are responsible for reviewing and validating AI-generated content before relying on it for business decisions.
- Northtec is not liable for damages resulting from reliance on AI-generated content.
- AI responses do not constitute professional advice (legal, financial, medical, or otherwise).
6. Plans, Billing & Usage Limits
The Service offers various subscription plans with different usage limits (messages, documents, storage, team members). Usage beyond plan limits may result in service throttling or suspension. Plan details and pricing are available at northtec.io.
We reserve the right to modify pricing with 30 days advance notice. Refunds are handled on a case-by-case basis.
7. Data Ownership
You retain all ownership rights to your data, including messages, documents, and configurations. By using the Service, you grant Northtec a limited license to process your data solely for the purpose of providing the Service. We do not claim ownership of your content.
8. Third-Party Integrations
The Service integrates with third-party platforms including WhatsApp Business (Meta), Gmail (Google), Microsoft Outlook, OpenAI, and others. Your use of these integrations is subject to the respective third-party terms and policies. Northtec is not responsible for the availability or performance of third-party services.
9. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted service. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to notify you of planned maintenance in advance.
10. Limitation of Liability
To the maximum extent permitted by law, Northtec shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service.
11. Termination
Either party may terminate the agreement at any time. You may delete your account through the dashboard. We may suspend or terminate your account for violation of these Terms. Upon termination, your data will be retained for 30 days and then permanently deleted.
12. Modifications
We reserve the right to modify these Terms at any time. Material changes will be communicated via email or dashboard notification at least 15 days before taking effect. Continued use of the Service after modifications constitutes acceptance of the updated Terms.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Costa Rica. Any disputes shall be resolved in the courts of San Jose, Costa Rica.
